Real Estate GALA – Exhibitor Terms & Conditions
Management and Exhibitor:
The term “Real Estate GALA” as used herein shall include the personnel, officers, employees, designated representatives, agents, and assigns acting within the scope of their duties to produce this event. The term “Exhibitor” shall refer to the company and its personnel and agents electing to participate in the exposition. This application, when properly executed by the Exhibitor and upon written acceptance by Real Estate GALA, shall constitute a valid and binding Agreement.
Exhibit Space Rules and Contractor Services:
Real Estate GALA shall have the right to establish rules for the show and the use of exhibit space covered by this Agreement, including but not limited to those outlined in the Exhibitor Service Manual. Real Estate GALA shall retain full discretion and authority regarding placement of decorations, signage, and display items. Distribution of promotional materials and solicitations is restricted to the Exhibitor's assigned booth. Real Estate GALA may require the replacement or redecorating of items, displays, or booths, at the Exhibitor’s expense. Any unfinished installations or failure to meet setup deadlines may result in Real Estate GALA completing the installation at the Exhibitor's expense or repossessing the space without refund. Early dismantling or vacating of booths is prohibited without express written consent from Real Estate GALA. Use of “Authorized Contractors” designated by Real Estate GALA is highly encouraged.
Enjoyment of Reasonable Business Environment:
Real Estate GALA reserves the right to restrict booth elements including but not limited to size, noise, lights, entertainment, and methods of operation deemed objectionable. Any behavior or equipment that detracts from the event’s decorum may result in eviction. Prohibited items include neon lights, gas, helium balloons, and taping materials to facility walls or columns. Exhibitors are advised to seek prior approval for questionable items to avoid removal costs. Non-compliance may result in repossession of booth space without refund.
Exhibiting Companies and Products:
Real Estate GALA reserves the right to determine the eligibility of products or companies and may remove or relocate exhibitors without prior notice. Exhibitor booth locations may be reassigned; if the new space is lower in value than originally purchased, Real Estate GALA will refund the difference. Exhibitors may not assign, sublet, or share booth space. Only goods and services offered in the normal course of business may be displayed.
Fees and Deposits:
Exhibitors are responsible for timely payment of fees as specified. Failure to pay may result in loss of assigned booth space. Real Estate GALA reserves the right to collect any outstanding fees, including legal and collection costs.
Compliance:
Exhibitors must comply with all applicable federal, state, and local laws, facility rules, and safety regulations, including the Americans with Disabilities Act. All installations, decorations, and wiring must meet fire and safety codes. Exhibitors are responsible for obtaining permits, tax forms, and ensuring tax compliance.
Security:
While Real Estate GALA will provide general perimeter security during show hours, security for individual booths, materials, and personnel is the sole responsibility of each Exhibitor. Exhibitors are encouraged to secure insurance and additional security at their own expense. Real Estate GALA is not liable for loss, theft, or damage.
Exposition Hours and Exhibitor Activities:
Real Estate GALA reserves the right to set and adjust exposition hours. Exhibitors may not schedule conflicting activities during these hours and are expected to staff their booths accordingly.
Attendance:
Attendance policies will be determined solely by Real Estate GALA. Exhibitors must ensure full booth staffing during open hours.
Music Licensing:
Exhibitors are solely responsible for obtaining any necessary licenses or permissions for music, video, or multimedia use. Failure to provide proof of legal licensing may result in suspension of such activities.
Liability and Insurance:
Real Estate GALA and the Exposition Facility shall not be liable for loss, theft, damage, injury, or illness involving Exhibitor personnel or property. In no event shall Real Estate GALA be liable for consequential or incidental damages. Exhibitor’s total remedy for any claim shall be limited to 50% of fees paid. Exhibitors agree to indemnify Real Estate GALA and the venue and must carry liability insurance of at least $1,000,000 USD, naming Real Estate GALA and the venue as additional insureds. A certificate of insurance must be provided no later than 30 days prior to installation.
Cancellation or Termination of the Exposition:
If the event is canceled or postponed due to circumstances beyond Real Estate GALA’s control (e.g., Acts of God, public emergencies, strikes), Real Estate GALA shall not be liable for any loss. Exhibitors will receive a pro-rata refund (excluding deposits) after deduction of incurred expenses.
Exhibitor Cancellations or Nonpayment:
Once this Agreement is executed, it is considered binding. Written cancellations received more than 45 days prior to the event will incur a 50% charge. Cancellations within 45 days are subject to 100% of the contracted fee. Failure to make timely payments may result in loss of booth space without refund.
Miscellaneous:
Real Estate GALA makes no guarantees regarding event success, traffic, or exhibitor placement. This Agreement is governed by the laws of the State of California. Legal actions must be brought in California courts. This Agreement supersedes any prior agreements and can only be modified in writing by an authorized Real Estate GALA officer. No exclusivity or competitor-free zones are guaranteed. If any provision of this Agreement is found unenforceable, all other provisions remain in effect.
The person signing this Agreement certifies authority to bind the exhibiting organization and agrees that Real Estate GALA may use the company’s name, likeness, or event imagery for promotional purposes.
